CONSTITUTION OF THE PRINCETON UNIVERSITY CLASS OF 1987

 

ARTICLE I NAME

The name of this organization shall be "Princeton University Class of 1987" hereinafter referred to as "the Class".

ARTICLE II CONSTITUTION

This Constitution formally establishes and creates the organization. The provisions of this Constitution shall control and govern all matters affecting the organization, other documents or instruments notwithstanding.

ARTICLE III PURPOSE

The purpose of the organization shall be to further the interests, welfare, and educational aims of Princeton University by providing a vehicle for fellowship, cooperation and communication among the members of the class, for so long as the organization is in existence and Princeton University remains organized exclusively for charitable, educational or scientific purposes under Sections 501(c)(3).

ARTICLE IV EXISTENCE

Unless otherwise terminated as provided in the By-laws, the existence of this organization will terminate when no members of this organization are living.

ARTICLE V MEMBERSHIP

The following shall be members of the Class of 1987:

  • All persons who are listed officially by Princeton University as being members of the Class of

    1987; and

  • Honorary Class members, who may be recommended by any member of the Class for action by

    the Class Steering Committee.

  • Nevertheless, the process of terminating the membership of any person may be initiated by the

    member's own written request to Princeton Alumni records for transfer to another Princeton

    University class of which he or she was at some time a member.

  • Payment of dues is not required for membership or for voting purposes

ARTICLE VI POWERS

Subject to the provisions of this Constitution, the organization shall have full power and authority to perform any lawful acts and to exercise any rights not otherwise limited by law. Without limiting the generality of the foregoing, the organization shall have all rights and powers of any unincorporated association under the laws of the State of New Jersey.

ARTICLE VII FINANCIAL LIMIT

No part of the net earnings of the organization shall inure to the benefit of, or be distributable to, any member, trustee, officer, director or any other private person. All of the assets and net earnings of the organization will be used to further the organization's purpose.

ARTICLE IX GENERAL LIMITS

This organization shall not, except to an insubstantial degree, carry on any other activities not permitted

to be carried on by an organization exempt from Federal income tax under section 501(c)(3)

ARTICLE XI ORGANIZATION

The Class of 1987 shall be governed by a Steering Committee consisting of both elected and appointed officers as described below. All officers shall serve for a term of five years, beginning immediately after election results are announced to the Class on Reunions weekend. All appointed officers may be reappointed for successive terms.

The elected officers of the Class shall comprise the Executive Committee and shall be:

  • The President
  • The Executive Vice President
  • The Secretary
  • The Treasurer

The Executive Committee may appoint additional officers such as:

  • Regional Vice Presidents
  • Reunion Chairpersons
  • The Technology Chair

The Steering Committee of the Class shall be determined by the Executive Committee consisting of class leaders such as:

  • The President
  • The Executive Vice President
  • Regional Vice Presidents
  • The Secretary
  • The Treasurer
  • Class Agents (appointed by the Annual Giving Office)
  • The Reunion Chairpersons
  • The immediate past President, Executive Vice President, Secretary and Treasurer
  • Any Classmate who is currently serving as a University Trustee

ARTICLE XII DUTIES OF OFFICERS AND COMMITTEES

In general, all officers of the Class will serve as members of the Steering Committee as required, represent the Class on appropriate occasions, and perform all duties attendant to each such office respectively whether or not specifically set forth in this Constitution. The duties of the officers include the following, with the understanding that the roles may be adapted to serve the needs of the Class:

  • President
    • To preside at all class meetings and meetings of both the Executive Committee and the Steering Committee;
    • To give such authorizations and approvals and make such determinations as are provided in this Constitution;
    • To oversee all elections.

  • Executive Vice President
    • To act in the place of the President in the absence or incapacity of the President;
    • To perform such other duties as may be delegated to the Executive Vice President.

  • Regional Vice Presidents
    • To coordinate activities in their regions;
    • To perform such other duties as may be delegated to them.

  • Secretary
    • To keep or supervise all non-financial records of the Class, including the supervision of records kept by any other person (except the Treasurer) given duties by this Constitution, and to oversee the transfer of records between successive officers;
    • To provide regular Class notes for the Princeton Alumni Weekly and to send Class communications as may be appropriate;
    • To perform other such duties as may be delegated to the Secretary.

  • Treasurer
    • To be responsible for all general Class assets;
    • To raise necessary class funds by dues;
    • To pay all bills of the Class and to make provisions for bank accounts as determined by the elected members of the Class;
    • To render detailed financial reports as required by the Alumni Council and as requested by the Executive Committee;
    • To deposit with or without interest and to invest and reinvest the assets of the class in any investment or reinvestment in accordance with University policies;
    • To perform other such duties as may be delegated to the Treasurer.

  • Class Reunions Chairpersons
    • To be responsible, subject to the approval of the Class Executive Committee, for all arrangements in connection with Class reunions and all other general meetings of the Class;
    • To appoint a team of classmates to assist with Reunions;
    • To oversee, in conjunction with the Treasurer, the raising of funds specifically for Class Reunions, subject to the continuing review of the President

  • Class Technology Chair
    • To set up and maintain the class website and all technology needed to communicate with the class;
    • To set up and maintain systems for online reunion registrations;
    • To work closely with the Treasurer on online payments.

ARTICLE XIII NOMINATIONS

At least five months in advance of each election the President shall appoint a Nominating Committee of at least five total members of which the President shall be an ex-officio member and Chairman;

  • All classmates are eligible to run for office.
  • Membership on the Committee shall not disqualify a member of the Class from nomination for any office
  • A communication must be sent to the entire class announcing the elections and explaining the process for nominations. Multiple forms of communications are recommended to reach the most classmates, i.e. email, Facebook and website.
  • Clear deadlines will be included in all materials seeking nominations.

ARTICLE XIV ELECTIONS

  • Elections for all officers shall take place each spring starting in 1987 and at five-year intervals thereafter. and officers elected shall hold office until the election and qualification of their successors, or until appointment in accordance with Article XVI.

  • If there are no contested offices by the published deadline for nominations, the slate may be approved by the Nominating Committee and announced.

  • If there are more volunteers than positions, the Nominating Committee shall have the latitude to create shared or additional positions. Or they may present the incoming class officers with a list of additional volunteers for the new officers to decide on the best structure.

  • The Executive Committee will select a voting system that takes into account the available technology and best practices of other Princeton classes. All classmates are eligible to vote.

 

ARTICLE XV APPOINTMENTS

The President shall name all appointed officers, subject to the approval of the Class Executive Committee. Vacancies in elected offices shall also be filled in accordance with this article.

 

ARTICLE XVI RESIGNATION AND REMOVAL OF OFFICERS

Officers may resign by submitting a letter to the President or the Class Executive Committee. Officers may be removed from office with the approval of at least 2/3 of the active members of the Class Steering Committee.

 

ARTICLE XVII BYLAWS

The Steering Committee may enact and may amend By-laws consistent within the provisions of this Constitution.

 

ARTICLE XVIII DISSOLUTION

Upon dissolution (termination) of this organization, after making provision for all its obligations and liabilities, all of the assets of this organization shall be distributed to Princeton University, so long as it is organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization under section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law). Any such assets not so disposed of shall be distributed, by the order of any New Jersey Court with jurisdiction, exclusively for such purposes, or to such organization or organizations which are organized and operated exclusively for such purposes.

 

ARTICLE XIX ADOPTION AND AMENDMENT

Amendments to the Constitution shall be proposed by the agreement of the Executive Committee or by a petition to the Secretary by at least twenty Class members.

 

Proposed amendments shall be submitted to Class members for approval. Classmates will be given approximately two weeks to reply with a yes or no vote. Approval by 2⁄3 of those voting will enact the changes.
